Our company hired Eastman and Smith as corporate counsel last year to replace our prior corporate counsel who retired. There was a falling out among the shareholders, who negotiated a buyout agreement among themselves and then turned to Eastman and Smith to formalize the agreement. Instead of proceeding to bring about the amicable buyout to fruition, their aggressive tactics alienated some of the shareholders which led to the filing of suit and all shareholders had to retain separate Counsel to represent themselves. Progress was made only after the majority shareholders removed Eastman and Smith from the process so that the Shareholders' personal Counsel could negotiate a fair and equitable buyout arrangement resolving the differences among the parties to everyone's satisfaction. Notwithstanding the fact that no discovery or depositions were ever taken, Eastman and Smith submitted invoices to our firm exceeding $60,000.00 for their efforts between the end of August 2018, and the end of January 2019. Even though they have already been paid $60,000.00, they are now demanding payment of an additional $40,000.00. In my opinion, I would WATCH OUT when dealing with this firm.
